As contracting agents evolve from simple self-executing code toward autonomous, learning-capable systems, contract law faces a fundamental challenge: regulating agreements formed and enforced not by humans but by artificial agents. This lecture traces an escalation from basic smart contracts through agentic contracting to a speculative frontier of "superintelligent contracts" capable of anticipating market conditions and adapting terms autonomously. It examines how such systems strain core doctrines of offer, acceptance, and consent, situating the analysis within ongoing efforts such as the UNCITRAL Model Law on Automated Contracting and the European Law Institute's work on algorithmic and AI-driven agreements. The lecture closes by considering the effects of automated contracting on the European Single Market, and what regulatory strategies — from disclosure duties to structural limits on autonomous agency — such developments require.
Speaker:
Prof. Dr. Florian Möslein holds the Chair of Innovation and Law at the University of Vienna. Previously, he held a Chair at Philipps-Universität Marburg and has been the founding director of the Institute for the Law of Digitalisation (IRDi). His research focuses on corporate and capital markets law, crypto-asset regulation (MiCAR), smart contracts, and AI contracting, and he serves on the European Commission's expert group on AI contracting.
